Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by Akabi Design ("Company," "we," "us," or "our"), including our website at akabidesign.online, you ("Client," "you," or "your") agree to be bound by these Terms of Service. If you do not agree to all of these terms, you must not use our services.

2. Services Provided

Akabi Design provides digital services including, but not limited to: web development, software development, UI/UX design, branding, SEO optimization, IT consulting, automation solutions, e-commerce development, and website maintenance. The scope, timeline, and deliverables for each project are defined in a separate written agreement or proposal signed by both parties.

3. Project Agreements & Proposals

A project begins only after both parties agree in writing (email, signed proposal, or contract) on the scope of work, timeline, and pricing. Any changes to the agreed scope must be formally requested and may result in additional costs and timeline adjustments.

4. Payment Terms

Payment terms are as outlined in the individual project proposal. In general:

• A deposit of 50% of the total project cost is required before work commences.
• The remaining balance is due upon project completion and before final delivery.
• Invoices not paid within 14 days of the due date may incur a late fee of 1.5% per month.
• All prices are in Moroccan Dirham (MAD) or as otherwise stated in the proposal.

5. Client Responsibilities

To ensure timely delivery, the client agrees to:

• Provide all required content, assets, and access credentials in a timely manner.
• Designate a point of contact who has authority to make decisions on the project.
• Provide feedback within the agreed review periods.
• Ensure any third-party materials provided are licensed for use.

6. Intellectual Property

Upon receipt of full payment, the client receives full ownership of the final deliverables created specifically for their project. Akabi Design retains ownership of all pre-existing tools, frameworks, proprietary methodologies, and code libraries used in the development process. We reserve the right to display completed work in our portfolio unless explicitly requested otherwise in writing.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation survives the termination of the agreement for a period of three (3) years.

8. Revisions & Modifications

Each project includes a specified number of revision rounds as outlined in the project proposal. Requests beyond the included revisions will be billed at our standard hourly rate. Revisions must be requested within 14 days of delivery of each milestone.

9. Termination

Either party may terminate a project engagement with 14 days' written notice. In the event of termination by the client, all work completed up to the termination date is billable. The deposit is non-refundable. In the event of termination by Akabi Design due to client breach, all outstanding balances become immediately due.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Akabi Design shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or revenue, loss of data, or business interruption. Our total liability shall not exceed the total fees paid by the client for the specific service giving rise to the claim.

11. Warranties & Disclaimer

Akabi Design warrants that services will be performed in a professional and workmanlike manner. We do not guarantee specific results such as search engine rankings or business outcomes. Third-party services, platforms, and APIs are subject to their own terms and availability.

12. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Kingdom of Morocco. Any disputes shall be subject to the exclusive jurisdiction of the competent courts of El Jadida, Morocco.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated date. Continued use of our services after modifications constitutes acceptance of the updated Terms.
